Conflict of Interest Policy

Introduction

This Conflict of Interest (COI) Disclosure and Management Plan has been prepared by Nimbus Power Systems in order to comply with the Department of Energy (DOE) Interim Conflict of Interest Policy Requirements for Financial Assistance, as detailed in FAL 2022-02. The objective of this plan is to guarantee transparency, encourage fairness, and avert potential conflicts of interest when managing and implementing DOE-funded projects.

Conflicts of Interest

Nimbus Power Systems is dedicated to carrying out research and managing projects with integrity and in accordance with all relevant laws, regulations, and policies, including the DOE’s conflict of interest policy. Nimbus Power Systems has established a written conflict of interest policy that is accessible to all employees, contractors, subrecipients, and subawardees participating in the DOE-funded project.

Identification and Disclosure of Conflicts of Interest

Nimbus Power Systems has performed an extensive review to detect any possible conflicts of interest related to the proposed project or financial assistance. All individuals involved in the project must disclose any financial interests, relationships, or affiliations that could potentially lead to a conflict of interest. This encompasses the disclosure of potential conflicts of interest by subrecipients and subawardees to the prime recipient.

Management and Elimination of Conflicts of Interest

Should a conflict of interest be identified, Nimbus Power Systems will undertake the following actions to manage or eliminate the conflict:
1. Develop a comprehensive management plan that outlines the steps to address the conflict of interest. This plan will specify actions and timelines for resolving the conflict.
2. Consult with the prime recipient and seek their approval for the proposed management plan.
3. Implement the approved management plan and regularly monitor its progress to ensure that the conflict of interest is effectively addressed.
4. Document all actions taken to manage or eliminate the conflict of interest and maintain records for potential audits or reviews.

Reporting and Updates

Nimbus Power Systems will submit the initial conflict of interest disclosure and management plan to the prime recipient as mandated by the funding opportunity announcement or contract. Updates will be supplied promptly as needed throughout the project period or upon any changes in the identified conflicts of interest or management plans.

Cooperation with Reviews and Audits

Nimbus Power Systems agrees to collaborate with the prime recipient during any reviews or audits related to compliance with the DOE’s conflict of interest policy. This includes providing access to records, documents, and any other pertinent information necessary to ensure compliance.
